How to Access the Corporations Registry

The Palau Corporations Registry provides for online search and registration of For Profit and Nonprofit Palau corporations, and for foreign corporations doing business in Palau. Here you can find information on how to create a corporation, other filing processes, how to search the registry, obtaining authority to submit filings for your corporation, and how to make payments for registry services. To undertake most of these actions you must first establish a client account with the corporations registry.  [Note: you need a separate account to make secured transactions registry filings: a corporations account will not work in the secured transactions registry.]

As a public user without a client account, you may conduct an Entity Search. For the first year after the commencement of the registry all searches will be free of charge, and you will be able to see all details of each corporation. Note: until a corporation re-registers there will be few details available.

To gain access to the additional features, select the Log In tab from the top navigation bar you already have an account, or follow the guide below to create an account.

1. How to create an account

   1. Click on the Create Account link in the main menu.
   2. Select the registry account type option setup a Corporation account.
   3. Read and agree to the terms and conditions.
   4. Enter the general information for the account.
   5. Press Save.
   6. The Registrar will review your application and, if all is in order, will approve your account. You will receive an email confirming this action.

2. Features of having a corporations account:

   • Register and re-register a local or foreign corporation.
   • Ability to search on the details and filing documents of the entities.
   • Obtain authority to manage an existing corporation.
   • Make payments.
   • Search entity name availability.
   • Search for directors, shareholders, and officers.

Viewing Details and Documents

For the first year after the online register commences, all information will be available for free. Note: until a corporation re-registers there will be few details available.

How to order details and documents

• 1. Once logged on, from the Corporations home page, click the corporations search link under Corporations Searches on the top navigation bar.
  2. Search for the Entity by using one or more of the following criteria:
     • Registration Number.
     • Entity Name.
     • Entity Type.
     • Entity Status.
     • Registration Date From.
     • Registration Date To.
  3. When you find the correct Entity, click on the Registration Number to view the basic Entity Profile.
  4. Click on the Order Documents button.
  5. From the Order Documents page, select the type of document you want to order from the dropdown menu, or to just view the records select View Company Profile—Full Access.
  6. Click the Submit button to proceed to the payment page.
  7. Completed orders can be viewed from the My Orders link on the Corporations home page.

More details about certificates

Certificate of Good Standing:

This certificate confirms the entity is registered and in good standing as of the date ordered. This is not available if the entity is currently not in good standing. Generally, an entity is in good standing if it is registered, is current on its AR filing, and has not filed a notice of dissolution. The certificate states the entity is in good standing and provides the current name, all past names and their dates of expiration, initial registration date, entity type, entity status, entity registration number, and the registered office address.

Certificate of Good Standing - Long Form:

This certificate displays all the information on the Certificate of Good Standing, plus includes the full current details of the company including all addresses, directors, officers, shares, and shareholders.  In essence, this is an extract of all current information about the entity.

Certified Historical Extract

This certificate contains all current information that is presented in the Certificate of Good Standing—Long Form, but also includes historical information from the time of re-registration onward (such as past directors or shareholders). If you need historical information prior to re-registration, please contact FIC.

Note: No certificate is available until the entity has been re-registered.

Create and Manage Alerts

This feature allows any third party with a client account to place an “alert” on a registered entity. If any filing is submitted against the entity, or if it undergoes a status change, then the registry system will send an alert to the third party. This feature could be used by a lender to keep track of its borrowers or a shareholder that wants to track actions of directors.

To access the Alerts feature, first log in to your client account. Once you are logged in, a bell icon displays next to your name in the navigation bar. Click on the bell and a drop down menu appears which will allow you to create and manage alerts for yourself and the account. Another bell icon can be found when you visit an account or entity profile. The bell will be grey and located below your name. It operates the same way as the bell in the navigation bar; however, notice there is an additional field that includes the account's or entity's name.

Upon opening the Alerts menu, you can navigate with the Current, Upcoming, and Completed tabs at the top. The Current tab shows the recent alerts that have activated and are waiting to be edited or marked as Completed. The Upcoming tab shows the alerts that are scheduled to occur in the future. The Completed tab shows all alerts that have been marked as Completed.

Create new alert:

1. Click the green + button in the upper right corner of the Alerts menu to open the form for creating a new alert.
2. Select a radio button to assign the alert to either yourself or all users on the account. The choices available will be your name or "Alert all users on account". This will tell the alert whether to notify only yourself or to notify everyone on your account.
3. Next, set the date and time you would like the user(s) to be notified.
4. Add a note to provide more context, a description, or special instructions for the user(s) who receives the alert.
5. Click the green disk button to save the alert. Or, click the red X button to delete the alert and exit the form.

Manage an alert:

When an alert has activated and you have completed what you need to do, you can move the alert to the Completed tab by clicking the checkbox labeled Complete. Please note, if an alert has passed its scheduled date and time, the assigned user(s) will receive a system generated email that will include the alert details. The email will only be sent once and no emails will be sent for alerts marked as Completed.

If you need to reassign, reschedule, and/or modify notes to an alert, you can click the green pencil button to edit the alert. After editing, make sure to click the green disk button to save the changes. (Note: The orange X button will exit the form and not make any changes to the current alert. The red trash button will delete the current alert. It will no longer appear on any of the tabs.)

Making A Payment

Transactions completed for the Corporations Registry may use prefunded amounts or payments made online at the time of purchase. All payments in the registry will be made in United States Dollars. An account may be pre-funded with payments by debit/credit card online, and cash or cheque deposits at the National Treasury Office.

If the filing or search incurs a fee, on the bottom of the filing it will show the amount due and the balance available on the account. There are two option buttons: Pay By Debit/Credit Card or Pay Remainder From Client Balance ($ available funds). Select either option.

To view your Account Balance and Transaction History, you can view your Client Account Statement by clicking on the Account Profile link on your account home page, then click the Financial tab.

Making a Payment via Credit Card

1. Login to your Registry Account
2. Click 'My Account' in the upper right corner of the site to go to your Account Home page
3. Select 'Fund Account using Credit Card' to see your account balance details and the option to fund using credit card or payment receipt.
4. Select 'Credit Card'.
5. Enter the amount you want to fund and press submit to go to the secure credit card payment entry page.

Making a Payment via Cash

1. Making a Payment via Cash or Check for Corporations/ Secured Registry Services.
   Submit payment, if check; it must be made payable to Palau National Treasury to obtain a Payment Receipt.
   Provide the following account information to the Palau National Treasury cashier:

   For Corporations Services	For Secured Transactions Services
   Org: 103A2317 Receipt Type: CFF	Org: 103A2316 Receipt Type: CFF

   
   
   All the above account information must be provided to the cashier to ensure proper payment processing. You will then be given a receipt from Treasury that will indicate the amount of the payment made.


2. Upload the Palau National Treasury Payment Receipt to registry to credit your registry account
   To upload the receipt you must:
   1. Login to your Registry Account
   2. Click 'My Account' in the upper right corner of the site to go to your Account Home page
   3. Select 'Fund Account using National Treasury Payment Receipt' to see your account balance details and the option to fund using credit card or payment receipt.
   4. Enter the name of the person making the payment, Receipt Number, and Amount of the Payment.
   5. Upload a photo copy or camera image of the payment receipt from the national treasury.
   6. Press submit to send the request to the registrar.
   7. The registrar will confirm the payment and fund your account accordingly. The system will notify you once the account balance has been adjusted.

Partnership, Credit Union, Cooperatives, and Corporations Sole for Ecclesiastical Service:

Visit or contact FIC Office to obtain a Transmittal to submit with your payment to the PalauNational Treasury.

Managing a Corporation

Logged in users will see the corporations over which their account has the authority to manage (i.e., submit filings) on their client account dashboard. Most filings, including amendments and annual returns, can only be filed by users that have authority to manage the corporation. If you don't already have authority to manage a corporation and you are legally entitled to do so, please see the How to Obtain Authority to Manage an Existing Corporation guide.

1. General Management Steps

   1. Begin on the Corporations home page as a logged-in user.
   2. Under the Manage My Work, select the My Entities link.
   3. Search for the entity by using the search options or scrolling through the available entities displayed below.
   4. Select the registration number.
   5. This opens to the Entity Profile.
   6. From the Entity Profile, management options include:
      • View the filing history, addresses, director/officers, entity authority, shareholders.
      • Lodge a new filing by clicking the + New Filing button.
      • See below for further instructions.

2. Submit Filings from the Entity Profile Page

   1. Click the + New Filing button.
   2. Select an option from the Form Category dropdown menu.
   3. Select an option from the Forms Available to File dropdown menu. This will contain the forms that are possible to lodge.
   4. Click the Submit button to redirect to the selected form.
   5. Enter the required information on the form and click the Submit button.
      • You may click on "Save Draft" if you wish to complete the filing later (such as if you need additional information to complete the work). The system will hold a saved filing in draft status for 20 days.
   6. All filings that can be filed are set out in the online system.  You will not submit paper filings to the Registrar.

3. View the Current Status of Filings you manage

   1. Begin on the Corporations home page.
   2. Under the Manage My Work, select the My Filings link.
   3. The active filings list displays all filings you have lodged.
   4. If there is a draft filing, and if your account has authority to complete the draft, select the blue icon to open and complete a draft filing.
   5. Select the green icon to view the entire history of the filing.

4. Determining Filing Fees

   1. Select or hover over the Help option in the top navigation menu.
   2. Select Fees.
   3. The filing name and transaction fees are listed in a table.
   4. Search for a service by entering a key word into the search box.
   5. The entries may be sorted by Service or Service Fee by pressing the arrow icons.

Obtaining Authority To Manage a Corporation

You must have authority over a registered entity in order to submit change filings against it. Having authority also allows you free access to view all the information regarding the entity that is not available for free to the public. For newly created corporations the person submitting the application is automatically granted authority over it. That person, the applicant, can then give out authority to other persons. For example, an applicant might be a director. Other directors can request authority from the original director with authority. The requestor will search for the entity, open the entity profile, select the Request Entity Authority button, and then submit the reason that authority should be granted to them.

For existing entities that need to re-register, no person will have authority at the time of commencement of the new online registry. Therefore, a person who wishes authority must submit an online request to the Registrar. The Registrar will review the request and either grant authority or else ask for additional information to make certain the grant of authority is made to a proper person.

The registrar and the person first granted authority over an entity may revoke authority for any other person, and other users may revoke their own authority. When the authority is revoked, the user with the revoked account can no longer manage the entity.

1. Steps for Obtaining Authority

   1. Begin on the Corporations home page.
   2. Under the Searches menu, click the Entity Search link.
   3. Enter the entity name or registration number and press the search icon.
   4. Select the desired corporation from the results grid.
   5. Click the Request Entity Authority button.
   6. Enter a reason as to why the request for authority is being made and any additional information (such as, "I am a director").
   7. Click on the Request button.
   8. Wait for approval of the request.
      • If the requesting user has the same email address as a director on the entity, the user will be granted authority automatically by the system.
      • Otherwise, the current authorities on the entity will be sent an email notification advising them of the request for authority. In the "My Tasks" list, a pending task will be created for them to approve or reject the request.
      • For entities that have no person with authority over them, the request will be sent to the Registrar. For entities that have no person with authority over them, the request will be sent to the Registrar.  This is the process that will be followed during re-registration as there will be no authority on any existing corporation as of the commencement date of the registry.  The Registrar may approve the request straightaway, send it back seeking more information, or reject it entirely (rare).

2. Revoking Authority

   This removes a client account's authority over an entity.

   1. Begin on the Corporations home page.
   2. Under the Manage My Work menu, click the My Entities link.
   3. Enter the search criteria to find the Entity.
   4. Select the Registration Number.
   5. Click on the Entity Authority tab.
   6. Click on the Revoke button.

How to Register a Nonprofit corporation

The incorporation process for Nonprofits has been made significantly easier with the commencement of the new Act and the online registry.  There is no longer the need to obtain approvals from any person other than the Registrar, and original, notarized signatures are never needed.  All you must do is: i) create a free client account with the online registry (see the information under the link “How to Access the Registry” for more information); and ii) complete the online form for Articles of Incorporation for a Palau Nonprofit corporation.  The Registrar will review your application and if all is in order you will receive your Certificate of Incorporation via an email.  The entire process should normally take no more than 1-2 days.

Once you have your account, you will need to provide the information required for the Articles of Incorporation under Section 203 of the Act.  This includes the following mandatory information that must be provided in the Articles and the re-registration:

• Type of Nonprofit. You will be asked to classify the Nonprofit as a public benefit, mutual benefit, or religious corporation. The following is a general description of each type:
  • Public benefit Nonprofit. A public-benefit Nonprofit corporation is the type of entity that is commonly thought of when people use generic term "Nonprofit." It is typically organized for charitable purposes that will benefit the public generally or a segment of the public, such as raising money for the disadvantaged or operating a community park or playground.  Entities furthering health and social services, and educational and artistic programs are examples of the types of activities that generally fall into this category.
  • Mutual benefit Nonprofit. These organizations seek to only benefit a select group of people. The most obvious type of mutual-benefit Nonprofit is a membership organization such as a chamber of commerce or a homeowner's association.  While a mutual-benefit Nonprofit shares the same underlying structure as a public-benefit corporation, the scope of its mission is more narrowly focused.
  • Religious Nonprofit. This is a type of domestic Nonprofit which is formed primarily for religious or spiritual purposes. It will include the corporation sole (also known as “ecclesiastical corporations").
   

  The primary reason why Palau has adopted these distinctions has to do with how the assets of the Nonprofit corporation are distributed upon its closure. Under the new Act, when a public benefit or religious Nonprofit closes it must give at least 20 days prior notice to the Registrar and the Attorney General of how it intends to distribute its assets The intent of this procedure is to make sure that donations and gifts that were made to these Nonprofit types will not ultimately end up in the pockets of its members or directors. On the other hand, payments made to mutual benefit Nonprofits could ultimately revert to its members upon dissolution. This makes sense in that most contributions made to mutual benefit Nonprofits are in the form of membership dues. As for religious Nonprofits, the law allows them more flexibility as to how they govern themselves internally as government should not, as a general proposition, unduly interfere with how a religious organization operates.

• Directors. Provide the name, residential address, postal address, and nationality of each director. Under the new Act at least one director must be a “lawful resident” of Palau. Also provide the terms for the directors (i.e., do they serve for 1 year, 2 years, etc.).

• Officers. Each Nonprofit corporation must have a President and Secretary, and may have also have a vice president, treasurer, or other officers. The same person may fill more than one office.

• Members. whether the corporation will have members. A Nonprofit is not required to have members.

• Registered agent and their address.

• Distribution of assets upon dissolution. You must indicate how the Nonprofit plans to distribute its assets upon dissolution. There are rules around how a public benefit and religious Nonprofit distributes assets to make sure charitable donations are not misused.  See Chapter 14 of the new Act and especially Section 1404.

• Purpose: You will state the purpose of the Nonprofit, which can be limited of for any lawful purpose.

Additionally, to provide the maximum flexibility for local corporations, the Act allows for inclusion of much optional information in the Articles concerning how the corporation operates internally. If any of this information is applicable to your Nonprofit corporation, you will be asked to provide it on a separate document and upload it when you file the Articles. This can be a Word document that has been saved as a PDF. The optional information includes provisions regarding:

• Managing business and regulating the affairs of the corporation;
• defining, limiting, and regulating the powers of the Nonprofit, its board of directors, and members;
• Eliminating or limiting the personal liability of a director (See Section 203(b)(4) for the full text of this long provision: one limitation is that a Nonprofit may not eliminate liability for criminal acts);
• How the Nonprofit may impose dues, assessments, admission and transfer fees upon its members (if any), establish conditions for the admission or revocation of memberships (these items are listed covered under Section 303(o) and may be included in the Articles, though they do not have to be); and
• Any other provisions not inconsistent with law.

The person that incorporates a Nonprofit corporation is automatically granted authority to manage it within the registry, meaning, they may submit filings for it in the future (like changes of address, directors/officers, annual returns, etc.).  This person may grant authority to others to also submit filings.  Please see the instructions regarding Authority on this website.

How to Register a For profit corporation

The incorporation process for for profit Palau corporations has been made significantly easier with the commencement of the new Act and the online registry. • Directors. Provide the name, residential address, postal address, and nationality of each director. Under the new Act at least one director must be a “lawful resident” of Palau.

• Officers. Each corporation must have a President and Secretary, and may have also have a vice president, treasurer, or other officers. The same person may fill more than one office.

• Shareholders and their shares. Provide the name, relevant addresses, and nationality of each shareholder and the number of shares they will possess upon incorporation.  Note: if even 1 share is owned by a non-citizen, then a FIB certificate may be required as well.

• Registered agent and their address.

• Purpose: You will state the purpose of the nonprofit, which can be limited of for any lawful purpose.

Additionally, to provide the maximum flexibility for local corporations, the Act allows for inclusion of much optional information in the Articles concerning how the corporation operates internally. If any of this information is applicable to your corporation, you will be asked to provide it on a separate document and upload it when you file the Articles. This can be a Word document that has been saved as a PDF. The optional information includes provisions regarding:

• Managing the business and regulating the affairs of the corporation;

• Defining, limiting, and regulating the powers of the corporation, its board of directors, and shareholders;

• A par value for authorized shares of class of shares (note that par value is optional under the new law);

• The imposition of personal liability on shareholders for the debts of the corporation to a specified extent and upon specified conditions (rare, but sometime required by a creditor);

• Eliminating or limiting the personal liability of a director (See Section 202(b)(E) for the full text of this long provision: one limitation is that a corporation may not eliminate liability for criminal acts);

• A limited duration for the corporation if it is not to be perpetual;

• Whether the shareholders have preemptive rights (generally, preemptive rights provide that if new shares are issued, existing shareholders have the right to purchase new shares as well so that their interests are not diluted; and

• a provision eliminating or limiting the personal liability of a director to the corporation or its shareholders for monetary damages, provided that no such provision shall eliminate or limit the liability of a director for any act or omission occurring prior to the date when such provision becomes effective, and further provided that such provision shall not eliminate or limit the liability of a director for-
  • any breach of the director's duty of loyalty to the corporation or its shareholders;
  • acts or omissions not in subjective good faith or which involve intentional misconduct or a knowing violation of law; or
  • any transaction from which the director derived an improper personal benefit, including financial benefit;
  • a limited duration for the corporation;
  • whether the shareholders of the corporation have preemptive rights; and
  • any other provisions not inconsistent with law.

The person that incorporates a for profit corporation is automatically granted authority to manage it within the registry, meaning, they may submit filings for it in the future (like changes of address, directors/officers, annual returns, etc.).  This person may grant authority to others to also submit filings.  Please see the instructions regarding Authority on this website.

Re-Registering an Existing Corporation

The new Corporations Act gives all local and foreign Corporations one year to re-register under the new law. See Chapter 17, Corporations Act.  The reason why there is a re-registration process is because this is the most efficient way to populate the new registry with information about each existing corporation as there is no electronic database from which to migrate any data.  The information that is collected in the re-registration is the same that is required when incorporating a new corporation.

Re-registration is free. Failure to re-register will cause your corporation to be administratively dissolved.  This means you would not be able to obtain a certificate of good standing or conduct any business with the registry.  If you miss the one-year deadline you may still have your corporation reinstated, but there will be penalty fees that apply.

You will not be able to submit any filings until you first re-register your corporation. Filing the re-registration takes the place of filing an annual return in the year in which the new registry commences.

To file an online application to re-register an existing Corporation you must have a client account. For information on how to create a client account, please click the Create Account link. You must also have authority to submit filings for the Corporation. If you don't already have authority, please see the How to Obtain Authority to Manage and Existing Business Entity guide.  In essence, you will submit a request for authority to the Registrar explaining why you have the legal right to submit filings against a particular corporation (such as being a director, officer or a lawyer for the entity).

To complete a re-registration, follow the steps outlined below.  This includes providing the certain mandatory information as set forth in the Act:

1. Locate your corporation

   Once you have a client account and have obtained authority over your corporation, it will appear on your client account dashboard. If you have authority over multiple corporations (common for law firms) then all corporations will be set out in a grid. Click on the corporation that you seek to re-register. You will see that the system has very limited migrated data for each corporation: name, date of incorporation, type, and status. This information was sourced from paper files in the old office of the registrar. If there is any error, please contact the Registrar. You will also see that your corporation now has a registration number. The old corporation registry did not provide for registration numbers, and one has now been assigned to every corporation in Palau, both active and inactive. Having a unique registration number is essential in assuring data integrity in an online system, and it will appear on all future Certificates issued by the registry.

2. Information in the database

   To complete a re-registration for a For Profit corporation you will need to provide the information required to file Articles of Incorporation for a corporation under Section 202 of the Act. This includes the following mandatory information:

   • Directors: Provide the name, residential address, postal address, and nationality of each director. Under the new Act, at least one director must be a “lawful resident” of Palau.
   • Officers: each corporation must have a President and Secretary, and may have a vice president, treasurer, or other officers.  The same person may fill more than one office.
   • Shares: Total number of shares issued and if there is more than one class of shares upload a page describing the different classes.
   • Shareholders: Number of shareholders, their details, and number of shares that they own.
   • Addresses: Registered agent and their address in Palau, plus a postal address.
   • Primary Business Activity: Principal activity of the Corporation.
    

   Additionally, to provide the maximum flexibility for local corporations, the Act allows for inclusion of much optional information in the Articles (and, hence, in the re-registration) concerning how the corporation operates internally. If any of this information is applicable to your corporation, you will be asked to provide it on a separate document and upload it when you file the re-registration. This can be a Word document that has been saved as a PDF. The optional information includes provisions regarding:

   • Managing business and regulating the affairs of the corporation;
   • defining, limiting, and regulating the powers of the corporation, its board of directors, and shareholders;
   • a par value for authorized shares or classes of shares;
   • the imposition of personal liability on shareholders for the debts of the corporation to a specified extent and upon specified conditions;

3. Complete the Online Application

   • If during your re-registration you need to stop, simply click the Save Draft and return to your work later.
   • When all of the categories are filled in, click the Complete button.

4. What to do if your corporation has not filed all annual returns in the past?

   All corporations must file an annual return each year. 

5. Overseas Corporations

   All overseas Corporations must also re-register, following the same general approach as noted above.  The failure to re-register an overseas corporation in the one year transition period will result in the de-registration of the corporation.

Searching the Corporations Registry

The Search feature allows a user to search the Registry for information on active and inactive entities. For the first year after the online register commences, all information will be available for free. Note: until a corporation re-registers there will be few details available.

Managing a Corporation: amendment filings

Logged in users will see the corporations over which their account has the authority to manage on their client account dashboard. Most filings, including amendments and annual returns, can only be filed by users that have authority to manage the company. If you don't already have authority, please see the How to Obtain Authority to Manage an Existing Corporation guide.

1. General Management Steps

   1. Begin on the Corporations home page as a logged-in user.
   2. Under the Manage My Work, select the My Entities link.
   3. Search for the entity by using the search options or scrolling through the available corporation(s) displayed in the grid below.
   4. Select the registration number.
   5. This opens to the corporation's Entity Profile.
   6. From the Entity Profile, management options include:
      • View the filing history, addresses, director/officers, entity authority, shareholders.
      • Lodge a new filing by clicking the + New Filing button.
      • See below for further instructions.

2. Submit Filings from the Entity Profile Page

   1. Click the + New Filing button.
   2. Select an option from the Form Category dropdown menu.
   3. Select an option from the Forms Available to File dropdown menu. This will contain the forms that are possible to lodge.
   4. Click the Submit button to redirect to the selected form.
   5. Enter the required information on the form and click the Submit button.
      • You may click on "Save Draft" if you wish to complete the filing later (such as if you need additional information to complete the work). The system will hold a saved filing in draft status for 20 days.
   6. All filings that can be filed are set out in the online system.  You will not submit paper filings to the Registrar.

3. View the Current Status of Filings you manage

   1. Begin on the Corporations home page.
   2. Under the Manage My Work, select the My Filings link.
   3. The active filings list displays all filings you have lodged.
   4. If there is a draft filing, and if your account has authority to complete the draft, select the blue icon to open and complete a draft filing.
   5. Select the green icon to view the entire history of the filing.
